Below are the prices for a shareholder agreement, share re-organisation, share purchases and business sales.

Shareholder agreements

Typically range from £3,500 – £5,000, depending on content and complexity. The most common option is a basic shareholder agreement containing protection for an owner-managed business giving shares to a key employee, that starts from £3,500.

Share re-organisation

Typically range from £1,500 – £2,000. The most common option is a basic share re-organisation creating A and B shares. Other examples include, sub-dividing shares, and varying the shares rights (e.g. creating non-voting shares).

Company share buy-backs

One option when a shareholder leaves a private company is for the company itself to purchase and cancel their shares. I advise on the structure of the buy-back, Companies Act requirements, shareholder approvals, funding and deferred consideration.

Share purchases and business sales

Typically range from £10,000 – £20,000+ depending on what is being bought or sold. The most common project is the sale or purchase of a private UK registered company from a single shareholder.
